Licenses

This Vocal License Agreement (“Agreement”) is entered into between Vocalsite (“Licensor”) and the purchaser of the license (“Licensee”). By purchasing, downloading, or using the vocal recordings provided by Vocalsite, the Licensee agrees to be bound by the terms set forth in this Agreement.

1. Delivery of Files

Upon successful payment, the Licensee will receive access to download the following materials (collectively referred to as the “Vocal Files”):

• WET vocals (processed with effects and/or tuning)

• DRY vocals (unprocessed recordings)

• Additional vocal takes, where available

• Lyrics sheet

The Vocal Files will be delivered digitally via a download link sent by e-mail or made available through the Licensee’s user account.

Vocalsite does not guarantee perpetual hosting of download links, and the Licensee is responsible for securely storing the files after download.

2. Grant of License

Subject to the terms of this Agreement, Vocalsite grants the Licensee a non-exclusive, non-transferable, worldwide license to use the Vocal Files solely for the purpose of creating one new musical composition (“New Song”).

The Licensee may:

• Edit, remix, arrange, process, and adapt the Vocal Files

• Incorporate the Vocal Files into the New Song

• Commercially exploit and distribute the New Song

Alternative versions of the New Song (including but not limited to edits, radio edits, extended mixes, instrumental versions, or remixes derived from the same composition) are permitted under this license.

This license does not grant exclusivity and Vocalsite retains the right to license the same Vocal Files to other parties.

3. Ownership

All Vocal Files remain the sole property of Vocalsite and/or the original vocalist.

This Agreement grants only a license to use the Vocal Files, and no ownership rights, copyrights, or neighboring rights in the recordings are transferred to the Licensee.

The Licensee owns the master recording and composition of the New Song, excluding the underlying vocal recordings.

4. Restrictions

The Licensee agrees that the Vocal Files may only be used as part of the New Song and may not be distributed separately.

The Licensee shall not:

• Sell, license, share, or distribute the Vocal Files as standalone audio files

• Make the Vocal Files available for download, sample packs, libraries, or similar products

• Transfer or sublicense the Vocal Files to any third party

• Claim ownership of the original vocal recordings

The Vocal Files may not be used in a manner that allows extraction or isolation of the original recordings outside of the New Song.

5. Content Identification Systems

Because the Vocal Files may be licensed to multiple parties, the Licensee may not register the Vocal Files themselves with any automated content identification or copyright enforcement system.

This includes but is not limited to:

• YouTube Content ID

• Facebook Rights Manager

• TikTok Content ID

• Any comparable fingerprinting or automated copyright system

The Licensee may distribute the New Song through distributors or streaming platforms, provided that the Vocal Files themselves are not claimed as exclusive intellectual property.

6. Distribution and Usage Rights

The Licensee may commercially exploit the New Song worldwide, including but not limited to:

• Distribution on streaming platforms

• Sale of digital downloads

• Radio broadcast

• Public performance

• Synchronization in audiovisual content

• Online video platforms

There are no limitations on streams, downloads, broadcasts, or public performances of the New Song.

However, the Licensee may not distribute the Vocal Files themselves outside the context of the New Song.

7. Royalties

All royalties generated from the New Song shall belong 100% to the Licensee.

Vocalsite and the vocalist do not claim:

• Master royalties

• Publishing royalties

• Writer’s share

• Performance royalties

The Licensee is solely responsible for collecting and administering any royalties generated from the New Song.

8. Credit Restrictions

The Licensee may not credit Vocalsite or the vocalist in any metadata, credits, publishing registrations, liner notes, public descriptions, or promotional materials related to the New Song.

Any such crediting is expressly prohibited under this Agreement.

9. Non-Exclusive Licensing

The Licensee acknowledges that:

• The Vocal Files may have been licensed previously

• The Vocal Files may be licensed to additional parties in the future

Vocalsite retains the unrestricted right to license the Vocal Files under identical or different terms.

10. Limitation of Liability

Vocalsite shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Vocal Files.

Vocalsite does not guarantee commercial success, platform approval, or distribution acceptance of the New Song.

The Licensee assumes full responsibility for the use and distribution of the New Song.

11. Termination

If the Licensee breaches any terms of this Agreement, Vocalsite reserves the right to terminate the license after providing written notice.

The Licensee will have 30 days from written notice to cure the breach.

If the breach is not remedied within that period, the license shall automatically terminate and the Licensee must immediately cease distribution of the New Song containing the Vocal Files.

12. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of Sweden.

Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of Sweden.

13. Limited License Tier (Tier+)

The “Tier+” license offered by Vocalsite is a limited-availability version of the standard non-exclusive license.

While the legal rights granted under the Tier+ license are identical to the standard non-exclusive license, Vocalsite may limit the number of licenses sold for a specific vocal recording to approximately 10–15 licenses.

The Licensee acknowledges and agrees that:

• The Tier+ license does not grant exclusivity.

• Other parties may also obtain licenses for the same Vocal Files.

• The limitation on the number of licenses sold is a commercial limitation determined by Vocalsite and does not alter the legal rights granted under this Agreement.

Vocalsite reserves the right to determine the total number of Tier+ licenses issued for any specific vocal recording.

14. Artificial Intelligence and Voice Cloning Restriction

The Licensee may not use the Vocal Files, or any portion of them, for the purpose of training, developing, improving, or operating any artificial intelligence, machine learning, or voice synthesis system.

This includes but is not limited to:

• AI voice cloning

• voice modeling

• synthetic voice generation

• speech synthesis systems

• machine learning datasets

The Licensee may not create, distribute, or commercially exploit any AI-generated voice model derived from the Vocal Files or the vocalist’s voice.

Any such use is strictly prohibited unless explicit written permission is granted by Vocalsite.

15. Sample Pack, Dataset, and Library Restriction

The Vocal Files may not be used to create or distribute any sample pack, sound library, dataset, or similar product.

The Licensee shall not:

• redistribute the Vocal Files as samples or loops

• include the Vocal Files in a sound library or audio toolkit

• make the Vocal Files available for download outside of the New Song

• include the Vocal Files in any dataset used for machine learning or audio analysis

The Vocal Files must remain embedded within the New Song and may not be made available in isolated or extractable form.
